By purchasing “What VCs Won’t Say" Online Course you agree to the following terms and conditions:

1. Clarence Bethea is NOT accepting pitches as an investor. Clarence’s information on these channels are educational only. Any advice offered or views shared do not represent investment advice from or views of any institutional investor.

2. One-Time Purchase with Ongoing Access

Purchase once and receive access to the What VCs Won’t Say Course for as long as we continue to operate the course.

3. No Refund Policy

All purchases of the What VCs Won't Say online course are final. Due to the immediate delivery of digital content, we do not offer refunds, exchanges, or credits except where required by applicable law.

By submitting payment, you acknowledge that:

You have reviewed the course description and understand what is included with your purchase.
You are purchasing immediate access to digital content.
You are responsible for using the tools, resources, and materials provided through your course access.
You have had the opportunity to ask questions before completing your purchase.

If you believe a billing error has occurred, you agree to contact What VCs Won’t Say first so we may investigate and attempt to resolve the issue. We reserve the right to challenge any chargeback or payment dispute that we believe is fraudulent, abusive, or inconsistent with these Terms and to pursue any remedies available under applicable law.

4. Disclaimer — Not Financial or Legal Advice

What VCs Won't Say provides education, strategy, and tools. It is not:

Financial advice
Legal advice
A guarantee of funding or investment
A vehicle to pitch Clarence, guest investors or mentors for investment

You are encouraged to consult a licensed advisor, accountant, or attorney before making financial or legal decisions for your business.

5. Use of Platform

By purchasing, you are granted access to the software and training library for your personal or business use only.

You may not:

Share, transfer, or sublicense your login credentials
Resell, republish, or distribute any platform materials
Use the tool for commercial use on behalf of other businesses

Violations may result in account termination and legal action.

6. Billing and Payment

The course is purchased through a one-time payment.
There are no recurring subscription fees or automatic renewals.
All payments are due at the time of purchase.
Prices are subject to change for future purchases but will not affect existing purchases.
Except as otherwise stated in these Terms or required by law, all purchases are final and subject to our Refund Policy.

7. Cancellation Policy

The What VCs Won’t Say course is sold as a one-time purchase. There are no recurring subscription fees or automatic renewals. Accordingly, there is no cancellation process, and all purchases are subject to the No Refund Policy.

TERMS & CONDITIONS – 1:1 Coaching with Clarence

By purchasing a 1:1 Coaching Session with Clarence Bethea through What VCs Won’t Say, you acknowledge that you have read, understood, and agreed to the following Terms & Conditions.

1. Coaching Session & Scope of Services

Your purchase includes one (1) 55-minute coaching session with Clarence Bethea conducted via Zoom.

During this session, Clarence may help you:

Strengthen your pitch and presentation delivery.
Review and refine your investor pitch deck.
Develop the communication and interpersonal skills needed to build trust with investors.
Prepare for investor meetings with greater clarity and confidence.
Address fundraising strategy questions and other topics relevant to your startup journey.

The session is educational and advisory in nature. The specific topics covered will depend on your needs, questions, and the time available during the session.

2. No Investment Solicitation

Clarence Bethea is not accepting pitches or soliciting investment opportunities through these coaching sessions. Purchasing a coaching session does not create an opportunity or entitlement to pitch Clarence or any other investor for funding.

The coaching session is intended to provide educational guidance based on Clarence’s experience as a founder and his perspective on fundraising and the startup ecosystem.

3. No Refund Policy

All purchases of 1:1 Coaching with Clarence Bethea are final and non-refundable, except where a refund is required by applicable law.

By completing your purchase, you acknowledge and agree that:

You have reviewed the coaching offer and understand what is included in your purchase.
Your purchase includes one (1) 55-minute Zoom coaching session with Clarence Bethea.
You are responsible for arriving on time, being prepared with your questions, and providing any pitch decks, documents, or other materials you would like to review during the session.
Failure to attend your scheduled session, arriving late, or failing to provide sufficient notice for a rescheduling request does not entitle you to a refund.
If you arrive 20 minutes or more after your scheduled start time, your session will be considered completed, and no refund or replacement session will be provided, except where required by applicable law.

Please review your availability carefully before purchasing.

4. Scheduling, Rescheduling & Attendance

Your coaching session must be scheduled and attended in accordance with the booking instructions provided after purchase.

Rescheduling Policy

Rescheduling requests must be submitted at least 48 hours before your scheduled session. Requests submitted less than 48 hours before the appointment will not be accepted, except at Clarence Bethea’s discretion or where otherwise required by applicable law.

Approved rescheduling requests are subject to availability. Purchasing a coaching session does not entitle you to additional sessions beyond the one included with your purchase.

Late Arrival Policy

You are responsible for joining your Zoom session on time and ensuring that you have a reliable internet connection.

Because each coaching session is limited to 55 minutes, the session will conclude at its scheduled end time, regardless of your arrival time.

If you arrive 20 minutes or more after your scheduled start time, your session will be deemed completed and forfeited. No refund, credit, or replacement session will be provided, except where required by applicable law. If you fail to attend your scheduled session without an approved rescheduling arrangement, your session will be considered forfeited, and no refund or replacement session will be provided, except where required by applicable law.

If Clarence needs to reschedule your session, you will be offered an alternative appointment time. If the session cannot be provided, any refund or other remedy will be handled in accordance with applicable law.

5. Educational Disclaimer — No Financial or Legal Advice

The coaching session is intended for educational and informational purposes only. It is designed to provide general insights, strategies, and tools related to entrepreneurship, fundraising, investor communications, and startup development.

The coaching session does not constitute:

Financial, investment, or securities advice.
Legal or tax advice.
A guarantee of fundraising success, investor interest, or business results.
An offer or solicitation to invest in any business, company, or security.

You are solely responsible for your business decisions and how you apply any information or recommendations discussed during the session. You should consult qualified financial, legal, tax, or other professional advisors before making decisions that require specialized advice.

6. No Guarantee of Results

While Clarence will share his experience, perspectives, and recommendations, no particular outcome is guaranteed.

Purchasing a coaching session does not guarantee that you will raise capital, secure investor meetings, obtain an investment, improve your business performance, or achieve any other specific result. Your outcomes will depend on various factors, including your business, preparation, execution, market conditions, and decisions.

7. Payment & Billing

1:1 Coaching with Clarence Bethea is a one-time purchase. There are no recurring charges, automatic renewals, or subscription fees associated with this offer. Payment may be made using any of the payment methods available at checkout, including credit cards, debit cards, Apple Pay, Klarna, and Afterpay.

If you choose Klarna or Afterpay, your payment schedule, installment arrangements, eligibility, and any applicable fees or interest are subject to the respective provider’s terms and conditions. You are responsible for fulfilling the payment obligations associated with your selected payment method.

Regardless of the payment method selected, your purchase is subject to these Terms & Conditions, including the No Refund Policy, except where a refund is required by applicable law. Any refunds or payment adjustments involving a third-party payment provider will be handled in accordance with applicable law and the provider’s applicable policies.

By completing your purchase, you authorize the applicable payment provider to process your payment according to the payment method you selected at checkout.

8. Payment Disputes & Chargebacks

If you have a question or concern about your purchase, please contact What VCs Won’t Say so that the matter can be addressed.

We reserve the right to respond to and contest payment disputes or chargebacks that we believe are unwarranted, including by providing relevant purchase records, checkout acknowledgments, booking information, and other supporting documentation to the applicable payment processor.

Nothing in these Terms & Conditions limits any rights you may have under applicable law.

9. Acceptance of Terms

By checking the acknowledgment box and completing your purchase, you confirm that:

You understand and agree to the no-refund policy, subject to applicable law.
